Terms of Service

Please read these Terms of Service ("Terms," "Agreement") carefully before using the ChuiVoice platform. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and ChuiVoice ("ChuiVoice," "we," "us," or "our") governing your access to and use of our website, web application, APIs, and all related services (collectively, the "Service").

By registering for an account, clicking "I agree," or otherwise accessing or using the Service, you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you are at least 18 years of age; (c) you have the legal authority to enter into this Agreement on behalf of yourself or the organization you represent; and (d) your use of the Service will comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Service.


1. Description of the Service

ChuiVoice is a Software-as-a-Service (SaaS) platform that enables businesses to deploy AI-powered voice receptionists. The Service includes, but is not limited to:

  • A web-based dashboard for configuring and managing AI agents, knowledge bases, phone numbers, and viewing call analytics.
  • A voice engine that handles inbound telephone calls via Twilio's telephony infrastructure, performs real-time speech-to-text transcription via Deepgram, generates AI responses via OpenAI language models, and converts responses to speech via ElevenLabs.
  • Lead capture, appointment booking, and call logging functionality.
  • Integration capabilities with third-party services including Google Calendar.
  • A billing and subscription management system powered by Paddle.

ChuiVoice reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.


2. Account Registration and Security

2.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information including your name, email address, and password. You agree to keep your registration information accurate and up to date.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You are solely responsible for all activity that occurs under your account, whether or not authorized by you. You must immediately notify ChuiVoice at support@chuivoice.com if you suspect any unauthorized use of your account or any other security breach. ChuiVoice will not be liable for any loss or damage arising from your failure to comply with this section.

2.3 One Account Per User

Each account is for a single user or organization. You may not share your account credentials with others. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2.4 Account Eligibility

The Service is intended for business use only. The Service is not intended for use by consumers for personal, family, or household purposes. You represent and warrant that you are using the Service for lawful business purposes.


3. Subscriptions, Billing, and Payment

3.1 Subscription Plans

Access to full features of the Service requires a paid subscription. We offer multiple subscription tiers with different included minute allowances and agent limits, as described on our pricing page. Subscription details, including pricing, are subject to change with 30 days' advance notice.

3.2 Billing and Payment Processing

All billing and payment processing is handled by Paddle.com Market Ltd. ("Paddle"), our Merchant of Record. When you purchase a subscription, you are entering into a payment agreement with Paddle, subject to Paddle's Terms of Service and Privacy Policy. ChuiVoice does not directly collect or store your payment card information.

3.3 Recurring Billing

Subscriptions are billed on a monthly or annual basis (as selected at checkout) and renew automatically at the end of each billing period. By subscribing, you authorize Paddle to charge your payment method on a recurring basis until you cancel. You will receive a receipt from Paddle for each billing cycle.

3.4 Minute Usage and Overage

Each subscription plan includes an allotment of call minutes per billing period. Usage is measured in minutes and seconds of active call time handled by the AI voice engine. If your usage exceeds the included allotment, we will notify you. Continued use above the allotment may result in service degradation, temporary suspension of call handling, or overage charges, depending on your plan. ChuiVoice will provide reasonable notice before suspending service for overuse.

3.5 Free Trials

ChuiVoice may offer free trial periods at its discretion. Unless you cancel before the end of the trial period, your trial will automatically convert to a paid subscription and your payment method will be charged. ChuiVoice reserves the right to modify or discontinue free trial offerings at any time.

3.6 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next billing period after we provide you with at least 30 days' advance written notice by email. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

3.7 Cancellations

You may cancel your subscription at any time through the Billing page in your dashboard or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period for which you have already paid. ChuiVoice does not prorate or refund unused time in a billing period.

3.8 Refund Policy

All subscription fees are non-refundable except as required by applicable law or as explicitly stated in a separate written agreement. If you believe you have been charged in error, contact us at billing@chuivoice.com within 14 days of the charge and we will investigate. Refunds, where granted, are at ChuiVoice's sole discretion.

3.9 Taxes

Prices displayed are exclusive of applicable taxes unless stated otherwise. Paddle, as Merchant of Record, is responsible for collecting and remitting applicable sales taxes, VAT, GST, and similar taxes where required by law. The applicable tax amount will be displayed at checkout.


4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable local, state, national, and international laws and regulations. You represent, warrant, and agree that you will not use the Service:

  • To violate any applicable law, statute, regulation, ordinance, or treaty.
  • To impersonate any person or entity, or to falsely state or misrepresent your affiliation with any person or entity.
  • To engage in any harassing, abusive, threatening, discriminatory, or obscene communications toward callers.
  • To transmit any content that is defamatory, fraudulent, deceptive, misleading, or constitutes illegal advertising or spam.
  • To violate federal, state, or international telemarketing, do-not-call, or telephone consumer protection laws including but not limited to the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and equivalent laws outside the United States.
  • To use the Service for robocalling, unsolicited telemarketing, or any automated outbound dialing without prior express written consent of the called party as required by the TCPA and applicable regulations.
  • To record or transcribe calls without first providing legally required notice and obtaining any required consent from all parties to the call.
  • To engage in any fraudulent, deceptive, or misleading business practices toward callers or third parties.
  • To upload, submit, or instruct your AI agent to generate content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • To attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
  • To probe, scan, or test the vulnerability of any ChuiVoice system or network.
  • To interfere with, disrupt, or degrade the integrity or performance of the Service, its servers, or networks.
  • To use any robot, spider, scraper, or other automated means to access the Service for any purpose without ChuiVoice's express written permission.
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying AI models powering the Service.
  • To resell, sublicense, or otherwise commercialize access to the Service without written authorization from ChuiVoice.
  • To engage in any activity that could create liability for ChuiVoice or that could harm the reputation or goodwill of ChuiVoice or its partners.

ChuiVoice reserves the right, but has no obligation, to monitor your use of the Service for compliance with these Terms. Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at ChuiVoice's sole discretion, with or without notice.


5. Telephone Consumer Protection Act (TCPA) and Telemarketing Compliance

This section contains critically important legal obligations for Customers who use ChuiVoice for any outbound communications or for any service that involves calling or texting consumer phone numbers.

The TCPA, 47 U.S.C. § 227, and regulations promulgated thereunder by the FCC, impose significant restrictions on the use of automated dialing systems, prerecorded voice messages, and SMS messages to cell phones and residential lines. Violations can result in statutory damages of $500 to $1,500 per violation, as well as class action exposure. Similar laws apply in Canada (CASL), the European Union, and other jurisdictions.

You agree and acknowledge that:

  • You are solely responsible for obtaining all required prior express written consent before using ChuiVoice to place calls or send SMS messages to any consumer.
  • You will comply with all National Do Not Call Registry requirements and maintain your own internal do-not-call list.
  • You will not use the SMS confirmation feature to send unsolicited messages to individuals who have not consented to receive SMS communications from your business.
  • ChuiVoice provides a platform; it does not control the substance of your calls or messages. You are the party legally responsible for TCPA compliance in connection with your use of the Service.
  • ChuiVoice shall have no liability for any TCPA, TSR, CASL, or similar violations arising from your use of the Service, and you agree to indemnify and hold harmless ChuiVoice for any claims, damages, fines, or penalties arising from such violations.

6. Customer Data and Content

6.1 Your Data

You retain all ownership rights to data you upload, submit, or generate through your use of the Service ("Customer Data"), including knowledge base content, agent configurations, call transcripts, lead records, and appointment data.

6.2 License to ChuiVoice

By using the Service, you grant ChuiVoice a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, store, transmit, and display your Customer Data solely to the extent necessary to provide, maintain, improve, and support the Service. This license does not permit ChuiVoice to sell your Customer Data to third parties or to use it for purposes unrelated to the Service.

6.3 Caller Data and End User Rights

Call transcripts, lead records, and appointment data may contain personal information about third-party callers ("End User Data"). As the Customer, you are the data controller (under GDPR) or the business (under CCPA) with respect to End User Data. ChuiVoice processes End User Data as a data processor or service provider on your behalf. You are responsible for ensuring you have a lawful basis for collecting and processing End User Data, including complying with applicable call recording laws as described in these Terms and in our Privacy Policy.

6.4 Content Standards

You are responsible for all Customer Data you submit to the Service. You represent and warrant that your Customer Data: (a) does not infringe any third-party intellectual property rights; (b) is not false, misleading, or deceptive; (c) does not violate any applicable law; and (d) does not contain malware, viruses, or other harmful code.

6.5 Data Backup

While ChuiVoice takes reasonable precautions to maintain the integrity of your data, you are responsible for maintaining your own backups of critical Customer Data. ChuiVoice is not liable for any data loss.


7. Intellectual Property

7.1 ChuiVoice Property

The Service, including all software, algorithms, AI models, interfaces, designs, text, graphics, logos, trademarks, and other content created by ChuiVoice (the "ChuiVoice IP"), is owned by ChuiVoice or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership interest in the ChuiVoice IP to you.

7.2 License to You

Subject to your compliance with these Terms and payment of applicable fees, ChuiVoice grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription. This license does not include the right to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, disassemble, or decompile the Service; (c) remove any proprietary notices from the Service; or (d) use the Service to build a competitive product.

7.3 Feedback

If you provide ChuiVoice with suggestions, feedback, ideas, or other input regarding the Service ("Feedback"), you grant ChuiVoice a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without any obligation or compensation to you.


8. Third-Party Services and Integrations

The Service relies on and integrates with third-party services including Twilio (telephony), Deepgram (speech-to-text), OpenAI (language models), ElevenLabs (text-to-speech), Paddle (payments), and Google (calendar). Your use of the Service is subject to the respective terms of service and privacy policies of these third-party providers.

ChuiVoice is not responsible for any acts or omissions of third-party service providers, including outages, errors, or changes to their services that may affect the availability or quality of the Service. We will use commercially reasonable efforts to minimize disruption from third-party service changes, but we cannot guarantee uninterrupted service.

Any Google Calendar integration you enable is subject to Google's Terms of Service and Privacy Policy. By connecting your Google Calendar, you authorize ChuiVoice to access and modify your calendar in accordance with the permissions granted during the OAuth authorization flow.


9. AI-Generated Content and Accuracy Disclaimer

The Service uses artificial intelligence and machine learning to generate responses during phone calls. You acknowledge and agree that:

  • AI-generated responses may contain errors, inaccuracies, or inappropriate content despite reasonable safeguards.
  • ChuiVoice does not guarantee the accuracy, completeness, reliability, or appropriateness of any AI-generated content.
  • You are solely responsible for reviewing and configuring your AI agent's instructions, knowledge base, and behavior to ensure outputs are appropriate for your business and callers.
  • ChuiVoice is not responsible for any decisions made by you or your callers in reliance on AI-generated responses.
  • The AI agent is not a licensed professional and nothing it communicates should be construed as legal, medical, financial, or other professional advice. You must not configure your agent to provide professional advice in regulated fields.
  • Speech recognition and transcription services may produce errors, particularly in noisy environments, with accents, or with specialized terminology.

10. Uptime, Availability, and Service Levels

ChuiVoice will use commercially reasonable efforts to maintain high availability of the Service. However, we do not provide a formal Service Level Agreement (SLA) unless separately agreed in writing. The Service may be unavailable due to:

  • Scheduled maintenance, which we will endeavor to announce in advance.
  • Unscheduled outages affecting ChuiVoice infrastructure or third-party providers.
  • Force majeure events (see Section 19).
  • Events beyond our reasonable control.

ChuiVoice shall not be liable for any damages or losses caused by interruptions in service availability. For mission-critical communications, you should maintain a backup means of reaching your customers.


11. Confidentiality

Each party ("Receiving Party") may receive confidential information from the other party ("Disclosing Party") in connection with these Terms ("Confidential Information"). Confidential Information means any information disclosed in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

The Receiving Party agrees to: (a) hold the Disclosing Party's Confidential Information in strict confidence; (b) not disclose it to any third party without the Disclosing Party's prior written consent, except to employees, contractors, and service providers who need to know it and are bound by confidentiality obligations; and (c) use it solely for the purpose of performing or receiving the Service. These obligations do not apply to information that is or becomes publicly available through no fault of the Receiving Party, was already known to the Receiving Party, or is required to be disclosed by law.


12. Termination

12.1 Termination by You

You may terminate your account and subscription at any time by canceling through the Billing page or contacting us at support@chuivoice.com. Termination takes effect at the end of your then-current billing period. Upon termination, your right to access the Service ceases and your data will be retained for up to 90 days, after which it will be permanently deleted unless a longer retention period is required by law.

12.2 Termination by ChuiVoice

ChuiVoice may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: (a) any breach of these Terms; (b) non-payment of fees; (c) suspected fraudulent, abusive, or illegal activity; (d) receipt of a lawful demand from a government authority; or (e) a decision to discontinue the Service. Where feasible, we will provide advance notice of termination.

12.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms immediately terminate; (b) you must cease all use of the Service; (c) all outstanding fees become immediately due and payable; and (d) provisions that by their nature should survive termination will survive, including Sections 6, 7, 13, 14, 15, 16, 17, and 18.


13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHUIVOICE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT, TRANSCRIPTION, OR SUMMARY; AND (D) ANY WARRANTY THAT DEFECTS OR ERRORS WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CHUIVOICE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF CHUIVOICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL CHUIVOICE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CHUIVOICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

The limitations of liability set forth above reflect the allocation of risk between the parties. These limitations shall apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose. Some jurisdictions do not allow the limitation of certain damages; in such jurisdictions, the above limitations apply only to the extent permitted by applicable law.


15. Indemnification

You agree to indemnify, defend, and hold harmless ChuiVoice and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation, including but not limited to TCPA, telemarketing laws, wiretapping statutes, privacy laws, and data protection regulations.
  • Your failure to obtain required consents from callers or third parties for recording, transcription, or data collection.
  • Your Customer Data, including any claim that your Customer Data infringes a third party's intellectual property rights.
  • Any claim by an End User (caller) arising from your use of the Service, including claims related to AI-generated content, call handling, lead capture, or appointment booking.
  • Your breach of any representation or warranty made in these Terms.

ChuiVoice reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.


16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact ChuiVoice at legal@chuivoice.com and describe the dispute. Both parties agree to use good-faith efforts to resolve the dispute informally within 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including questions about the existence, validity, or termination of these Terms) will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, except as otherwise provided herein. The arbitrator's decision will be final and binding on both parties, and judgment may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND CHUIVOICE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and ChuiVoice agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

16.4 Exceptions

Nothing in this Section limits either party's right to seek: (a) injunctive or other equitable relief in court for infringement or misappropriation of intellectual property rights; or (b) relief in small claims court for disputes within the jurisdictional limits of such court.

16.5 Opt-Out

You may opt out of the arbitration agreement within 30 days of creating your account by sending written notice to legal@chuivoice.com with the subject line "Arbitration Opt-Out." If you opt out, Section 17 (Governing Law) will still apply.


17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for resolution of any disputes.

If you are a consumer located in the EEA or UK, mandatory consumer protection laws of your country of residence may apply in addition to or in lieu of these Terms, and you may have the right to bring claims in your local courts.


18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ChuiVoice with respect to the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

18.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

18.3 Waiver

No waiver by ChuiVoice of any breach of these Terms shall be construed as a waiver of any subsequent breach. The failure of ChuiVoice to enforce any provision of these Terms shall not constitute a waiver of that right.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without ChuiVoice's prior written consent. ChuiVoice may assign these Terms without your consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

18.5 Notices

ChuiVoice may provide notices to you via email to the address associated with your account, via in-app notifications, or via a notice on our website. You are responsible for keeping your email address current. Notices to ChuiVoice must be sent to legal@chuivoice.com.

18.6 Headings

Section headings are for convenience only and have no legal or contractual effect.


19. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) to the extent caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions, labor disputes, power outages, internet service provider failures, third-party service outages, or DDoS attacks. The affected party must promptly notify the other party and use commercially reasonable efforts to resume performance.


20. Changes to These Terms

ChuiVoice reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account or via a prominent notice in the Service. Changes will take effect on the date specified in the notice. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
